Responsibilities
Primary Duties
- Lead maintenance and oversight of domestic and international legal entities
- Manage the full subsidiary lifecycle, including formations, dissolutions, foreign qualifications, restructurings, and integrations
- Maintain official subsidiary records, minute books, and compliance calendars across jurisdictions
- Own and proactively improve the entity management system, ensuring accurate records of directors, officers, managers, stockholders, and authorized signatories
- Coordinate regular compliance reviews with outside counsel and third-party providers to ensure statutory and annual filing obligations are met
- Support Tax, Treasury, and Finance with subsidiary-level certifications, bank documentation, KYC/KYB requests, and restructuring initiatives
- Identify governance gaps or process inefficiencies and drive improvements to enhance transparency and reduce risk
- Support Board and committee operations, including preparation and maintenance of minutes, resolutions, written consents, and governance records; exercise judgment to escalate documents needing further attention to attorneys within the legal department
- Prepare and conduct substantive review of corporate actions requiring officer signatures, exercising judgment to escalate matters as appropriate
- Maintain insider trading compliance processes, D&O questionnaires, and related governance certifications
- Lead Section 16 reporting and beneficial ownership tracking
- Partner with Legal, Accounting, and IR on proxy preparation, annual meeting logistics, and related governance matters
- Assist with transaction diligence, post-closing corporate housekeeping, and compliance certificates
- Maintain corporate records and governance documentation in connection with financing and capital markets activities

This visible and highly collaborative role will join a dynamic team that handles high-profile governance, securities, capital markets, and policy matters. We're looking for a detail-oriented self-starter who thrives in a collaborative environment and is excited to contribute to meaningful work that impacts the business. The role will also help scale the legal function by leveraging AI and other technology to enhance efficiency, transparency, and governance processes.
Note: This role is not suitable for law degree holders or those currently in law school. We are looking for a professional paralegal seeking to build core corporate skills.

Qualifications
- Bachelor's degree or ABA approved paralegal certification
- 3+ years of professional administrative or paralegal experience in a corporate or law firm environment
- Experience handling confidential information and working with senior management
- Broad exposure to corporate secretarial, statutory reporting, subsidiary governance, corporate law, or other related compliance activities
- Commissioned Notary Public or willingness to obtain commission shortly after hire
- Familiarity with SEC reporting, Section 16 compliance, insider trading programs and public company governance
- Strong communication skills and the ability to work effectively across a global enterprise, dealing with stakeholders at all levels of the organization and in various cultures
- Strong organizational, project management, and multitasking skills to manage multiple competing matters, meet required work deadlines, and follow-up on outstanding requests.
- Self-motivated to seek out challenges and pursue excellent outcomes; willing to roll-up sleeves, pitch-in and tackle problems of all shapes and sizes.
- Experience with entity management systems (e.g., hCue) and legal operations platforms, including e-billing systems, with a focus on accuracy, reporting, and spend management
